Terms of Service

Important: Therapy Aperture is intended exclusively for use by licensed mental health professionals, supervised interns or practicum students under the oversight of a licensed supervisor, and authorized clinical supervisors. By using this platform you confirm you meet one of these criteria.

1. Acceptance of Terms

By creating an account or using the Therapy Aperture mobile application or website ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a clinic, practice, or organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Eligibility

You may use Therapy Aperture only if you are:

3. Description of Service

Therapy Aperture provides a mobile application for session recording, AI-assisted transcription, intervention detection, missed opportunity flagging, competency scoring ("Competency Insights"), and clinical supervision tools. The Service is offered on iOS and Android platforms.

Not a medical device. Therapy Aperture is a documentation and training tool for licensed mental health professionals. Competency Insights scores and intervention analysis are administrative and educational tools only. They are AI-generated observations for licensed clinician review and do not constitute medical diagnoses, clinical assessments, or treatment recommendations. Never rely solely on Therapy Aperture outputs for clinical decision-making.

4. Accounts and Access

Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at info@therapyaperture.com if you suspect unauthorized access.

Organization Accounts

Clinics and practices may create organizational accounts and invite therapists, supervisors, and students. The organization administrator controls access levels and is responsible for ensuring all users within their account comply with these Terms. Supervisors granted caseload access may view session data for therapists and students assigned to them.

Student and Intern Accounts

Student and intern accounts require association with a licensed supervisor registered on the platform. Students may not use the Service for unsupervised clinical work. The supervising clinician bears responsibility for appropriate oversight of session data reviewed through the platform.

5. Client Consent

You are solely responsible for obtaining, documenting, and retaining informed consent from each client before recording any session using Therapy Aperture. This includes:

The application will prompt you to confirm consent has been obtained and will log that confirmation before a recording can begin. This log does not substitute for your own consent documentation in the client's clinical record.

You agree to use the Service only for lawful clinical, educational, and administrative purposes consistent with your professional obligations. You must not:

7. HIPAA and PHI

Where your use of Therapy Aperture involves Protected Health Information (PHI) as defined under HIPAA, a Business Associate Agreement (BAA) between your covered entity and Therapy Aperture, Inc. is required. Contact us at info@therapyaperture.com to execute a BAA before transmitting any PHI through the platform.

You are responsible for ensuring your use of the Service complies with HIPAA, your state's privacy laws, and any applicable professional regulations. We are not responsible for your organization's failure to maintain a valid BAA or to configure the platform in accordance with your compliance obligations.

8. Subscription and Payment

Plans

Therapy Aperture is offered under subscription plans including Student, Therapist, Practice, and Enterprise tiers. Feature access varies by plan. During the early access period, pricing and feature scope are subject to change with notice.

Billing

Subscriptions are billed on a monthly or annual basis as selected at signup. Fees are charged at the start of each billing cycle and are non-refundable except as required by law or as stated in our refund policy. You authorize us to charge your payment method on file for recurring fees.

Changes

We may change subscription pricing with at least 30 days' written notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You retain access through the end of the paid period.

9. Intellectual Property

Our Property

Therapy Aperture, including its software, AI models, scoring rubrics, interface designs, trademarks, and documentation, is owned by Therapy Aperture, Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you ownership rights in the Service.

Your Data

You retain ownership of all session recordings, transcripts, and clinical data you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to process your data for the sole purpose of providing the Service to you. We do not claim ownership of your content and will not use PHI to train AI models without your explicit written consent.

Feedback

If you provide us with suggestions, feedback, or feature requests, we may use them without obligation or compensation to you.

10. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information received from the other in connection with the Service. We will handle all PHI in accordance with our Privacy Policy and any applicable BAA. You agree to maintain the confidentiality of any non-public information about the Service's functionality, pricing, or roadmap that we share with you.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THERAPY APERTURE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, CLINICAL OUTCOMES, OR PROFESSIONAL SANCTIONS.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Therapy Aperture, Inc. and its affiliates from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your failure to obtain proper client consent; (d) your violation of any applicable professional, licensing, or privacy law; or (e) any third-party claim relating to content you submit to the Service.

14. Termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or if required by law. We will provide notice where practicable. Upon termination, your right to use the Service ends immediately.

You may terminate your account at any time. Upon request, we will delete your data in accordance with our data retention policy and applicable law.

Sections 9, 11, 12, 13, and 15 survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration related to the Service.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or in-app notification before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
